1. Introduction

Welcome to Venture Academia, an educational platform built to equip agents at Venture REI with cutting-edge training, resources, and tools for professional growth in real estate.

These Terms of Use ("Terms") govern your access to and use of the Venture Academia website (ventureacademia.ai), mobile applications, and all related services powered by our proprietary large language model (LLM), Thinkific (collectively, the "Platform"). The Platform is operated by Venture Academia LLC ("we," "us," or "our"), a subsidiary of Venture REI.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms, our Privacy Policy (which is incorporated herein by reference), and any applicable supplemental terms. If you do not agree, you must not use the Platform. These Terms form a binding contract between you and us. We recommend reviewing them carefully and consulting legal advice if needed.

The Platform is intended for use by licensed or affiliated real estate agents aged 18 and older. Unauthorized use is prohibited.

2. Acceptance of Terms

To create an account and access the Platform:

• You must be at least 18 years old and have the legal capacity to enter into these Terms.
• You represent that you are a licensed real estate agent or otherwise affiliated with Venture REI, and that all information you provide (e.g., name, email, agent license number) is accurate, current, and complete.
• By submitting your registration, you consent to these Terms and authorize us to verify your eligibility (e.g., via affiliation checks with Venture REI).

We reserve the right to refuse or terminate accounts at our discretion, including for violations of these Terms or failure to meet eligibility criteria.

3. Description of Service

The Platform provides:

• Online courses, modules, and interactive training materials focused on real estate education, compliance, and skill-building.
• AI-powered tools via Thinkific for personalized learning, simulations, quizzes, and feedback.
• Collaboration features like forums, chats, and resource sharing for Venture REI agents.
• Analytics and progress tracking to monitor professional development.

Access may require a Venture REI-affiliated account. Features are subject to availability, and we may update, modify, or discontinue them without notice. You agree that the Platform is provided "as is" and "as available," without warranties of uninterrupted access.

4. User Accounts and Responsibilities

a. Account Creation and Security

• To use the Platform, you must create an account by providing required information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
• Notify us immediately at [email protected] of any unauthorized access or security breach.
• You must not: share your account, use another's credentials, or attempt to bypass access controls.

b. Your Obligations

• Use the Platform only for lawful, professional purposes related to your role at Venture REI.
• Comply with all applicable laws, including real estate regulations, data protection rules, and intellectual property laws.
• Keep your contact and professional information updated.
• Not use the Platform for commercial gain outside of Venture REI activities without our written consent.

We may suspend or terminate your account for inactivity (e.g., 6 months) or violations.

5. Intellectual Property

a. Our Rights

The Platform, including all content, designs, code, Thinkific AI models, and materials (collectively, "Platform Content"), is owned by us, Venture REI, or our licensors. It is protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial educational purposes as a Venture REI agent.

This license does not include rights to: reproduce, distribute, modify, reverse-engineer, or commercially exploit the Platform or any part thereof.

b. Your License to Us

By using the Platform, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute any feedback, suggestions, or ideas you provide (but not your User Content as defined below).

Trademarks like "Venture Academia," "Venture REI," and "Thinkific" are our property and may not be used without permission.

6. User Content

a. Ownership and Submission

"User Content" includes any materials you upload, submit, or generate via the Platform (e.g., assignments, forum posts, AI prompts/responses, feedback, or uploaded files). You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, modify, and use it as needed to provide and improve the Platform (e.g., for AI training in anonymized form).

b. Guidelines for User Content

You represent that your User Content:

• Is original and does not infringe third-party rights.
• Does not contain sensitive, confidential, or proprietary information (e.g., client data or trade secrets).
• Complies with these Terms and applicable laws.

We are not responsible for User Content and may remove it at our discretion. Thinkific-generated outputs are for educational use only and not professional advice.

7. Prohibited Conduct

You agree not to:

• Use the Platform for illegal activities, harassment, spam, or disrupting operations.
• Introduce viruses, malware, or harmful code.
• Scrape, copy, or automate access without permission.
• Impersonate others or misrepresent your affiliation.
• Share confidential Venture REI information via AI interactions.
• Attempt to access unauthorized areas or accounts.

Violations may result in immediate termination and legal action. We may report suspected illegal activity to authorities.

8. Termination

a. By You

You may close your account at any time by contacting [email protected]. Upon closure, your access ends, and User Content may be deleted (subject to retention for legal purposes).

b. By Us

We may suspend or terminate your access for any reason, including violations, at our sole discretion, with or without notice. Sections surviving termination include intellectual property, disclaimers, liability, and governing law.

9. Disclaimers and Limitations of Liability

a. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. THINKIFIC AI OUTPUTS MAY CONTAIN INACCURACIES AND ARE NOT SUBSTITUTES FOR PROFESSIONAL ADVICE.

b. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

Some jurisdictions do not allow these limitations; check local laws.

10. Indemnification

You agree to indemnify, defend, and hold harmless us, Venture REI, and our affiliates from any claims, losses, or damages arising from your violation of these Terms, misuse of the Platform, or infringement of third-party rights through your User Content.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You waive any objections to venue or jurisdiction.

12. Changes to These Terms

We may update these Terms to reflect changes in our services, technology, or legal requirements. Significant revisions will be notified via email, in-app notice, or Platform posting at least 30 days in advance. Continued use after changes constitutes acceptance.
